Terms of Service

EINIEX (the "Service") is operated by D.I.E. Corporation, a company incorporated in the State of Florida, United States ("EINIEX", "we", "us"). These Terms of Service, together with our Privacy Policy and the member agreement you sign on verification, form the entire agreement between you and EINIEX.

By applying for membership, signing in, or using any part of the Service, you confirm you have read and agree to these terms. If you are using EINIEX on behalf of a company, you confirm you are authorised to bind that company, and "you" means both you and the company.

EINIEX is a professional network for adults (18+) applying as an individual or a company. Membership is by application and subject to review. We may accept or decline any application at our discretion, and admission is never guaranteed.

• You must provide accurate, complete and current information in your application and profile, and keep it up to date.
• You must pass identity and professional verification (see Section 4).
• You may hold one account unless we agree otherwise; company seats are governed by your company's plan.
• You may not use EINIEX if you are barred under applicable law or have previously been removed.

You are responsible for your account and for keeping your credentials secure, including where you sign in with Google. Activity under your account is your responsibility. Tell us promptly at legal@einiex.com if you suspect unauthorised use. You may close your account at any time; some provisions of these terms survive closure (see Section 14).

Membership is earned, not bought. We verify identity and professional standing before admission and may re-verify at any time. Members rise through tiers — Member, Connector, Insider — based on closed deals and positive feedback, not on payment. Standing and tier are privileges we grant and may adjust, suspend or revoke if information proves false, verification fails, or these terms are breached. Tiers and their benefits may change as the Service evolves.

The network only works if members trust it. You agree not to:

• Misrepresent who you are, your reach, your track record or your authority to deal.
• Circumvent the platform — that is, deliberately routing a deal sourced through EINIEX off-platform to avoid the cut.
• Spam, harass, scrape, or send bulk unsolicited messages, or exceed posting and connection request limits by automated means.
• Post anything unlawful, fraudulent, infringing, misleading, or that you do not have the right to share.
• Share another member's information or communications outside EINIEX without consent.
• Interfere with, probe, or attempt to break the security or integrity of the Service.

Boosts and other promotion follow our promotion rules; promoted content must still meet every standard above.

You decide what to post — what you have, who you can reach, and what you need — and you are responsible for it. You grant EINIEX a non-exclusive, worldwide licence to host, display and distribute your posts and profile within the Service so the network can function. Connections and messaging are subject to the limits of your tier; paid extras can raise some limits (see Section 8). We may remove content or limit activity that breaches these terms.

EINIEX is free to join, post and connect. We make money only when you do: when a deal sourced or facilitated through EINIEX closes on-platform, EINIEX is entitled to a percentage of the deal value — the rate agreed in your member agreement. The same model applies to individuals and companies.

Deals are run under one signed agreement on the platform, and payment of the cut is processed through our payment processor (Stripe). You agree to record and close qualifying deals on-platform and not to structure or divert a deal to avoid the cut. EINIEX provides the venue and tools; members contract directly with one another, and EINIEX is not itself a party to, guarantor of, or adviser on any member deal.

Beyond the cut, EINIEX offers optional paid extras — such as boosting a post or offer, and raising your daily connection request limit. These are optional, priced as shown at purchase, and billed through Stripe. You authorise us and Stripe to charge your chosen payment method for amounts you incur, including the cut on closed deals and any extras. Fees are exclusive of taxes, which you are responsible for where applicable. Except where required by law, payments are non-refundable.

You keep ownership of the content you post; you grant us only the licence in Section 6 to operate the Service. Everything else — the EINIEX name, wordmark, design, software and content — belongs to D.I.E. Corporation or its licensors and is protected by intellectual-property laws. You may not copy, modify, reverse-engineer, or use our brand or platform except as these terms allow. If you send us feedback, we may use it freely without obligation to you.

EINIEX works with trusted third parties — Google for sign-in, Stripe for payments, identity-verification partners, professional profiles such as LinkedIn, and our email, analytics and hosting providers. Your use of those services may be subject to their own terms, and we are not responsible for them. Linking a third-party profile or paying through a processor means you also accept that provider's terms.

The Service is provided "as is" and "as available". EINIEX is a network and venue: we do not guarantee that you will make connections, close deals, or achieve any particular outcome, and we do not vet the merits of any deal. Members are independent and act on their own judgement. To the fullest extent permitted by law, we disclaim all warranties — express or implied, including merchantability, fitness for a particular purpose, and non-infringement — and do not warrant that the Service will be uninterrupted, secure or error-free.

To the fullest extent permitted by law, EINIEX and D.I.E. Corporation will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, or business — including anything arising out of a deal between members. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim, or US $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You agree to indemnify and hold harmless EINIEX, D.I.E. Corporation and its people from claims, losses and expenses (including reasonable legal fees) arising from your use of the Service, your content or posts, your deals with other members, or your breach of these terms or of any law or third-party right.

You may close your account at any time. We may suspend or terminate your membership — and remove content or revoke standing — if you breach these terms, fail verification, put the network or other members at risk, or where required by law. Amounts already owed (including the cut on closed deals) remain payable, and provisions that by their nature should survive — including deals, fees, IP, disclaimers, liability limits, indemnity and governing law — survive termination.

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. You and EINIEX agree that the state and federal courts located in Florida have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to venue there. Where permitted, disputes will first be raised in good faith with us at legal@einiex.com before any formal proceeding. Nothing here limits any non-waivable rights you have under the mandatory law of your home country.

We may update these terms as the Service evolves or the law changes. We will post the new version here with an updated date and, for material changes, notify members. Continuing to use EINIEX after a change means you accept the revised terms; if you do not agree, stop using the Service and close your account.
